Upfront HR – Standard Terms of Business for Clients
Effective Date: 1st January 2025

1. Introduction
​
These terms govern the provision of recruitment services by Upfront HR (“the Agency”) to its clients (“the Client”). By engaging with the Agency, the Client agrees to be bound by these terms unless otherwise agreed in writing.
2. Fees
​
A fee equivalent to 25% of the candidate’s annual gross starting salary (inclusive of any guaranteed bonuses or allowances) will be payable by the Client for each successful placement.
3. Payment Terms
​
Invoices are due within 14 days of the candidate’s start date. Late payments may be subject to interest charges.
4. Replacement Guarantee
​
If the placed candidate leaves their role within the first 90 calendar days, the Agency will provide one replacement candidate at no additional charge. This is conditional upon:

The Client notifying the Agency in writing within 5 working days of the candidate’s departure.

The Client having paid the original invoice in full and on time.

The role and job description remaining unchanged.
5. Confidentiality

Both parties agree to keep all information relating to candidates and business matters confidential.
6. Candidate Ownership
​
If a candidate submitted by the Agency is hired by the Client within 12 months of introduction, a full fee will be due.
7. Liability
​
While the Agency takes reasonable steps to assess candidates, it makes no warranties as to their suitability or performance. The Client is responsible for all final hiring decisions.
8. Governing Law
​
These terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the UAE courts.
